1. About these terms

These terms of use govern your use of agentbuild.club (the “site”). The site is operated by Commsarc Limited, trading as Agent Build Club (“ABC”, “we”, “us”, “our”). We are a company registered in England and Wales under company number 13038985, and our registered office is at 248 St Helier Avenue, Morden, London SM4 6JZ.

A “business user” is anyone using the site for the purposes of their trade, business or profession, or on behalf of an organisation, including a university or other public body.

3. Changes to these terms

We may revise these terms from time to time. The version number and effective date at the top of this page tell you which version applies, and the version history at the end records what changed. Please check this page each time you use the site.

We may also update and change the site itself, for example to reflect changes to our programmes, our services or the law.

4. Acceptable use

You may use the site only for lawful purposes. You must not:

  • use the site in any way that breaches any applicable law or regulation, or that is fraudulent or has a fraudulent purpose or effect;
  • attempt to gain unauthorised access to the site, the server on which it is stored, or any server, computer or database connected to it;
  • attack the site through a denial of service attack or a distributed denial of service attack;
  • knowingly introduce viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful;
  • scrape, crawl, harvest or systematically extract content or data from the site, whether by automated means or otherwise, other than ordinary indexing by search engines in line with our robots.txt file;
  • use any content from the site to train, fine-tune, evaluate or otherwise develop any artificial intelligence or machine learning model, or to build a dataset for that purpose, whether directly or through someone else, without our prior written permission;
  • reproduce, republish or redistribute site content beyond what section 5 allows;
  • impersonate anyone, misrepresent your affiliation with any person or organisation, or suggest that we or any programme partner endorse you when we do not;
  • use the site to send unsolicited advertising or promotional material; or
  • submit material that is defamatory, obscene, discriminatory, harassing or threatening, that infringes anyone else’s rights, that contains another person’s personal information without a lawful basis for sharing it, or that is confidential information you are not entitled to share.

Unauthorised access to the site and denial of service attacks may be criminal offences under the Computer Misuse Act 1990. We will report any such offence to the relevant law enforcement authorities and will co-operate with them, which may include disclosing your identity to them. If you breach this section, your right to use the site ends immediately.

5. Intellectual property

5.1 Our content

We own, or are licensed to use, all intellectual property rights in the site and the material published on it, including text, illustrations, line drawings, photographs, logos and design. Those works are protected by copyright and other laws, and all rights are reserved.

The Agent Build Club name and logo belong to us. The names and logos of programme partners, funders and other organisations belong to their owners and appear on the site with permission. You must not use any of them without the owner’s permission.

5.2 What you may do with our content

You may view the site, print or download extracts for your own personal, non-commercial use or for internal use within your organisation, and share links to pages. When you do, you must acknowledge Agent Build Club as the source, you must not modify the material, and you must not use any illustration, photograph, video or audio separately from the text that accompanies it.

You must not use any part of the site’s content for commercial purposes without a licence from us. If you would like to use our material in a way this section does not allow, ask us at privacy@agentbuild.club.

5.3 Material you submit

From time to time you may submit material to us, such as comments, case studies, challenge descriptions, event feedback or contributions to our community spaces. You keep ownership of anything you submit.

You grant us a non-exclusive, royalty-free, worldwide licence to use, reproduce, adapt (for example to fit a format or length), publish and display that material for the purpose of running and promoting the activity it was submitted for. We will credit you where we have agreed to do so. If you ask us to stop using your material, we will not use it in anything new, but we cannot recall material that has already been printed or distributed.

By submitting material, you confirm that it is yours to give, that it does not infringe anyone else’s rights, and that where it includes anyone else’s content or personal information you have their permission to share it. Any personal information in your material is handled under our Privacy Policy.

6. Content is not advice

The content on the site is general information. It is not legal, financial, investment, technical, career or other professional advice, and you should not rely on it as such. Obtain professional or specialist advice before taking, or refraining from, any action on the basis of it.

Blog posts, guest posts and community contributions express the views of their authors. Example code, prompts and agent designs we publish are shared as they are, and you are responsible for testing them before you use them for anything that matters.

We make reasonable efforts to keep the site up to date, but we make no promise that its content is accurate, complete or current.

The site links to other websites and resources. Those links are provided for your information only. We have no control over the content of those sites and are not responsible for them, or for any loss or damage that may arise from your use of them.

Some of what we offer runs on third party platforms, such as our forms, our community spaces, event booking and online sessions. When you use them, the platform’s own terms and privacy notice apply alongside ours. Our Data Processors and Data Processing Agreements page lists the providers that process personal information for us.

You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. You must not link in a way that suggests any association with, approval of or endorsement by us where none exists, and you must not frame the site on any other website. We may withdraw this permission without notice.

8. Our liability

8.1 What we do not exclude

Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under the law of England and Wales.

8.2 If you are a consumer

We provide the site for domestic and private use. We are not liable to you for any loss of profit, loss of business, business interruption or loss of business opportunity.

We are responsible for loss or damage you suffer that is a foreseeable result of our breaking these terms or our failing to use reasonable care and skill. We are not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if either it is obvious that it will happen, or if, at the time you started using the site, both we and you knew it might happen.

If defective digital content that we have supplied damages a device or digital content belonging to you, and this is caused by our failure to use reasonable care and skill, we will either repair the damage or pay you compensation.

Nothing in these terms affects your statutory rights under the Consumer Rights Act 2015.

8.3 If you are a business user

To the extent the law allows, we exclude all implied conditions, warranties, representations and other terms that might apply to the site or its content.

We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty or otherwise, even if foreseeable, arising out of or in connection with your use of, or inability to use, the site, or your use of or reliance on any content on it. In particular, we will not be liable for loss of profits, sales, business or revenue; business interruption; loss of anticipated savings; loss of business opportunity, goodwill or reputation; loss or corruption of data; or any indirect or consequential loss or damage.

Subject to section 8.1, our total liability to a business user arising out of or in connection with the site, whether in contract, tort (including negligence), breach of statutory duty or otherwise, will not exceed £100.

A separate written agreement between us and your organisation for a particular programme or service has its own liability terms, and those govern that programme or service.

9. Availability

The site is made available free of charge. We do not guarantee that the site, or any content on it, will always be available or be uninterrupted. We may suspend, withdraw or restrict all or any part of the site for business or operational reasons, and we will try to give reasonable notice where we can.

We do not guarantee that the site will be secure or free from bugs or viruses. You are responsible for configuring your own technology to access the site, and you should use your own virus protection software.

10. Your information

We use any personal information you give us through the site in line with our Privacy Policy and, where it applies, the privacy notice for the programme concerned. Every form on the site tells you who controls the information you give and which notice applies.

11. General

If a court or other authority decides that any part of these terms is unlawful or unenforceable, the rest of these terms will remain in full force and effect.

If we do not insist straight away that you do something you are required to do under these terms, or if we delay in taking steps against you, that does not mean you do not have to do it and does not stop us taking steps later.

These terms are between you and us. No other person has any right to enforce any of them, whether under the Contracts (Rights of Third Parties) Act 1999 or otherwise.

We may transfer our rights and obligations under these terms to another organisation. We will tell you if we do, and it will not affect your rights under these terms.

12. Governing law

If you are a consumer, these terms are governed by the law of England and Wales. You can bring legal proceedings in respect of the site in the courts of England and Wales. If you live in Scotland, you can bring legal proceedings in either the Scottish or the English courts. If you live in Northern Ireland, you can bring legal proceedings in either the Northern Irish or the English courts.

If you are a business user, these terms and any dispute or claim arising out of or in connection with them or their subject matter or formation, including non-contractual disputes or claims, are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
